1. Introduction
These Terms and Conditions govern the provision of Holistic Health Coaching services provided by Basim Yafai (“Coach”) and are binding upon the Client who enrols in the twelve-week program (“Program”). By enrolling, the Client agrees to these terms and conditions.
2. Definitions
- “Coach“ refers to Basim Yafai, who delivers holistic health coaching services.
- “Client“ refers to the individual who enrols in and receives services from the Program.
- “Program“ refers to the structured twelve-week holistic health coaching service provided by the Coach.
3. Services
The Coach will provide holistic health coaching over a 12-week period, including:
- Initial assessments.
- Customised wellness planning.
- Regular coaching sessions.
- Follow-up support focused on improving the Client’s Mental, Physical, Spiritual, and Emotional wellbeing.
Continued support following the twelve-week Program can be arranged with Basim Yafai separately and discussed during the final month of the Program.
3.1. Service Delivery
- All coaching services are delivered exclusively online via video conferencing, email, or other digital communication platforms agreed upon with the Client (e.g. WhatsApp, Google Meets).
- The Client is responsible for ensuring a stable internet connection and access to the agreed platforms. The Coach is not liable for service interruptions caused by connectivity issues on the Client’s end.
4. Payment Terms
- The fee for the Program will be stated in the proposal sent to the Client. By signing the proposal, the Client confirms their agreement to the stated fee.
- Payment must be made in full prior to the commencement of the Program, unless an alternative monthly payment plan has been agreed upon via email with Basim Yafai.
- Payment methods accepted: Payments can be made via Bank Transfer. Alternative methods, such as Wise, Revolut, or Cryptocurrency, may be used if pre-approved by Basim. The Client is responsible for any currency conversion fees, bank transfer charges, or other applicable fees associated with their chosen payment method.
- All fees are non-refundable except as outlined in the refund and cancellation policy.
- Late payments may incur a penalty fee of 5% of the total Program fee for each month the payment remains overdue, applicable to monthly payment plans.
5. Refund and Cancellation Policy
- Refunds: Full refunds are available if cancellation is made at least 14 days before the Program start date. Cancellations made within 14 days of the start date are not eligible for a refund.
- Cancellations by Client: The Client must provide written notice (via email) for cancellations.
- Cancellations by Coach: The Coach reserves the right to cancel the Program with a full refund if necessary due to unforeseen circumstances.
6. Client Responsibilities
The Client agrees to:
- Actively participate in the Program and complete all recommended activities and assignments.
- Communicate openly and honestly with the Coach.
- Maintain the confidentiality of any shared materials and information.
- Notify the Coach promptly of any changes in their health or circumstances that could impact their participation in the Program.
7. Coach Responsibilities
The Coach commits to:
- Delivering the services as outlined in the Program.
- Maintaining confidentiality of all Client information, except as required by law.
- Providing support and guidance tailored to the Client’s individual needs.
8. Confidentiality and Data Protection
- All information shared by the Client during the Program will be kept confidential and will not be disclosed to third parties without the Client’s written consent, except as required by law.
- The Coach complies with the UK General Data Protection Regulation (GDPR) to protect personal data. The Client has the right to access, correct, or request deletion of their personal information at any time by contacting the Coach.
9. Disclaimer and Limitation of Liability
- Disclaimer: The Coach does not guarantee specific results from the Program. The Client acknowledges that outcomes depend on their own efforts and commitment.
- Limitation of Liability: The Coach is not liable for any indirect, incidental, or consequential damages arising from the Client’s participation in the Program. The total liability of the Coach shall not exceed the amount paid by the Client for the Program.
- The Coach does not provide medical advice. Clients are advised to consult qualified professionals for medical or diagnosed mental health concerns.
- This limitation does not exclude liability for personal injury or death caused by negligence.
10. Termination Clause
- Termination by Client: The Client may terminate this agreement with written notice if the Coach breaches any material term of this agreement.
- Termination by Coach: The Coach may terminate this agreement if the Client breaches any material term of this agreement or if the Client’s behaviour is deemed harmful, disruptive, or inappropriate.
11. Governing Law and Jurisdiction
- These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Dispute Resolution
In the event of a dispute, both parties agree to attempt mediation or arbitration before pursuing legal action.
13. Force Majeure
Neither party shall be held liable for failure to fulfil obligations due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, or governmental restrictions.
14. Entire Agreement
This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral.
15. Modification of Terms
The Coach reserves the right to modify these Terms and Conditions at any time. Clients will be notified of any changes in writing. Continued participation in the Program following such notification constitutes acceptance of the modified terms.
16. Electronic Communication and Signatures
Agreements and communications via email or electronic signature platforms (e.g. Through PandaDoc) are legally binding.
17. Business Location and Residency
- The Coach’s business is registered in the United Kingdom, and these Terms and Conditions are governed by the laws of England and Wales.
- The Coach operates and delivers services remotely from outside the United Kingdom. This does not affect the applicability of the governing law or the jurisdiction outlined in this agreement.
18. International Clients
- Clients residing outside the United Kingdom are responsible for ensuring their participation in the Program complies with their local laws and regulations.
- The Coach makes no guarantees regarding the suitability of the Program under specific legal or regulatory frameworks outside the UK.
19. Acceptance of Terms
By enrolling in the Program, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
